NEUROMECHANICAL CONNECT SYSTEM – TERMS OF USE

These Terms of Use (“Terms”) govern your access to and use of the Neuromechanical Connect System, including the Connect mobile application, website, cloud platform, APIs, firmware interfaces, and related software features (“System” or “App”), provided by Neuromechanical (“Neuromechanical,” “we,” “our,” or “us”).
By creating an account, accessing, or using the System, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the System.
DEFINITIONS
“Authorized User” means a licensed clinician or clinic staff member authorized by a clinician to use the System.
“Clinic” means the legal entity or professional practice employing or supervising Authorized Users.
“Device” means the Impulse IQ Connect hardware or any other Neuromechanical-approved hardware.
“IFU” means the official Instructions for Use for the Device.
“User Content” means information you or your Clinic enter or upload into the System.
“Treatment Data” means clinical session data, measurements, device-generated data, and any related metadata.
“De-identified Data” means data that does not identify a patient or Authorized User.
“Aggregated Data” means De-identified Data combined with data from other users or sources.
ELIGIBILITY AND AUTHORIZED USE
The System is intended only for licensed clinicians and clinic staff under clinician supervision.
Patients may not access, log in to, or use the System directly.
You represent and warrant that:
- You are an Authorized User;
- You will use the System only for lawful, professional purposes;
- You will comply with all applicable laws and clinical standards.
RELATIONSHIP TO THE IMPULSE IQ CONNECT DEVICE
The Impulse IQ Connect is an FDA-regulated medical device.
The System (software) is NOT a medical device and does not provide diagnosis, treatment recommendations, or replace clinical judgment.
If the System conflicts with the IFU, the IFU controls.
Nothing in the System modifies or overrides:
- Device safety warnings,
- Contraindications,
- Clinical procedures, or
- Regulatory labeling.
SYSTEM PURPOSE AND CLINICAL LIMITATIONS
The System provides digital tools to:
- Capture, view, organize, and store Treatment Data, including clinical documentation, session information, and device-related activity;
- Record, receive, and display measurement data produced by compatible Devices;
- Support analysis, interpretation workflows, and data review performed by clinicians;
- Facilitate connectivity with Devices and authorized third-party integrations;
- Assist with clinic workflow management and documentation.
The System does not:
- Provide medical advice;
- Suggest, recommend, or determine treatment decisions;
- Assess patient conditions;
- Replace clinical expertise or clinical examination.
You acknowledge that:
- All clinical decisions remain your sole responsibility;
- System outputs must be independently verified;
- Data displayed in the System may be incomplete or subject to transmission or measurement error;
- You must follow professional standards and the IFU.
USER RESPONSIBILITIES
You agree to:
- Maintain accurate account information;
- Secure your login credentials;
- Use the System only for approved clinical purposes;
- Ensure patient data is entered lawfully;
- Comply with all applicable privacy laws.
You are responsible for all activity under your account.
Clinics may manage or disable user accounts for compliance, oversight, or security reasons.
DATA COLLECTION AND OWNERSHIP
User Content
Clinics own identifiable patient information entered into the System.
Treatment Data
Treatment Data may include:
- Device readings;
- Adjustment/session metadata;
- Notes, labels, timestamps;
- Connectivity logs;
- Clinical workflow actions.
License Grant to Neuromechanical
You grant Neuromechanical a worldwide, perpetual, royalty-free license to:
- Use, store, reproduce, process, analyze, and transmit De-identified and Aggregated Data for:
- Research
- Commercial analytics
- Scientific publication
- Algorithm development
- Machine learning training
- Product improvement
- New product development
- Any other lawful purpose
- Use non-identifiable derivatives arising from permitted processing activities.
Ownership
- Clinics: own identifiable patient information.
- Neuromechanical: owns De-identified Data, Aggregated Data, and derivative insights, subject to the moderate ownership model:
- Neuromechanical owns the derivative models and analytics created from De-identified Data;
- Clinics do not gain rights to Neuromechanical algorithms or derivative works;
- Neuromechanical does not claim ownership of identifiable patient records.
No Use of Identifiable Patient Data Without Authorization
Neuromechanical does not use identifiable patient data for research unless:
- Lawfully permitted, and
- Explicitly authorized by the Clinic.
FUTURE INTEGRATIONS (EMR/EHR, WEARABLES, APIs)
Neuromechanical may introduce integrations with:
- EMR/EHR systems (via FHIR, HL7, or custom APIs);
- Wearables and biosensors;
- Third-party clinical measurement devices;
- Cloud analytics engines;
- Marketplace add-ons or third-party apps.
Third-party systems may have their own:
- Terms of use;
- Privacy policies;
- Data handling practices.
Neuromechanical is not responsible for:
- Third-party data accuracy;
- Connectivity issues;
- Failures of third-party services;
- Data corruption caused by third parties.
You are responsible for:
- Ensuring integration is legally permissible for your clinic;
- Obtaining any necessary patient consents;
- Complying with all applicable privacy regulations.
INTELLECTUAL PROPERTY
Neuromechanical owns all:
- Software, code, and architecture;
- Interfaces, dashboards, and workflows;
- Firmware and connectivity logic;
- Documentation and branding;
- Algorithms, analytics, and derivative works;
- Aggregated datasets and tools.
You receive a limited, non-transferable, revocable license to use the System for clinical and operational purposes.
You may not:
- Reverse engineer the System;
- Modify, copy, or reproduce it;
- Build derivative products;
- Use the System for competitive analysis.
NO WARRANTY
The System is provided “AS IS” without warranties of any kind.
Neuromechanical does NOT guarantee:
- Accuracy or completeness of data;
- Error-free Device connectivity;
- System uptime;
- Compatibility with all hardware or networks.
LIMITATION OF LIABILITY
To the fullest extent permitted by law:
- Neuromechanical is not liable for indirect, incidental, consequential, punitive, or special damages.
- Neuromechanical’s total liability shall not exceed:
(a) the amount paid in the prior 12 months, or (b) $100, whichever is greater.
INDEMNIFICATION
You agree to indemnify and hold harmless Neuromechanical from claims arising out of:
- Your misuse of the System;
- Your violation of these Terms;
- Your clinical decisions or patient interactions;
- Your failure to comply with the IFU or applicable laws.
MODIFICATIONS TO TERMS
Neuromechanical may update these Terms at any time.
Continued use of the System constitutes acceptance of updated Terms.
GOVERNING LAW
These Terms are governed by the laws of the State of Arizona, unless Neuromechanical designates a different jurisdiction in writing.
MANDATORY ARBITRATION AND CLASS ACTION WAIVER
Binding Arbitration
All disputes must be resolved through binding arbitration, not court litigation.
Class Action Waiver
Users waive the right to participate in class actions, class arbitrations, or representative actions.
Exclusive Venue
If arbitration is not permitted, disputes shall be brought exclusively in Arizona courts.
TERMINATION
Neuromechanical may suspend or terminate access for:
- Security risks;
- Violation of these Terms;
- Regulatory requirements;
- Discontinuation of the System.

This Privacy Policy explains how Neuromechanical (“Neuromechanical,” “we,” “our,” or “us”) collects, uses, stores, shares, and protects information through the Neuromechanical Connect System, including the mobile application, website, cloud services, APIs, Device interfaces, and related components (“System”).
This Privacy Policy applies to clinicians and authorized clinic staff only, not to patients.
Patients do not access or use the System directly.
By using the System, you agree to this Privacy Policy and the accompanying Terms of Use.
WHO THIS POLICY APPLIES TO
This Privacy Policy applies to:
- Licensed clinicians;
- Authorized clinic staff working under clinician supervision;
- Clinics administering staff accounts.
The System is not intended for:
- Patient self-entry,
- Patient login,
- Direct patient access.
Clinics act as custodians/controllers of their identifiable patient information.
Neuromechanical acts as a service provider/processor where applicable.
INFORMATION WE COLLECT
We collect three primary categories of data:
NFORMATION YOU PROVIDE
This includes:
- Account details (name, email, credentials, clinic affiliation);
- Clinic information (clinic name, location, identifiers);
- Patient-related information entered by clinicians, such as:
- Names or initials,
- Identifiers,
- Demographics (if entered),
- Clinical records or notes.
- Treatment Data entered or generated by clinician use, including:
- Session details and workflow steps;
- Device use context;
- Adjustment or interaction information.
You are solely responsible for ensuring you have legal rights and patient authorization to enter any identifiable information.
MEASUREMENT & DEVICE DATA
When using compatible Devices (e.g., Impulse IQ Connect), the System may collect:
- Device identifiers;
- Measurement data (e.g., force, frequency, motion parameters, timing, output values);
- Device performance data;
- Connectivity and session metadata;
- Logs indicating how the Device was used during a session.
Measurement data is treated as Treatment Data.
SYSTEM-GENERATED AND AUTOMATIC DATA
We may automatically collect:
- Device type, OS version, app version;
- IP address, general location (non-precise);
- Usage analytics (features accessed, actions taken);
- Crash logs, error reports, and diagnostic information;
- Connectivity and synchronization data.
We do not collect advertising identifiers for targeted advertising.
HOW WE USE INFORMATION
We use information for the following purposes:
System Operation and Maintenance
- Authenticate users;
- Maintain secure data access;
- Provide Device connectivity;
- Ensure accurate logging of Treatment Data and measurement data.
Product Improvement
- Improve System reliability, user experience, and Device connectivity;
- Develop new features and functionality;
- Analyze usage trends and workflows.
Research, Analytics & Development (De-identified Data Only)
Neuromechanical may use De-identified and Aggregated Data for:
- Scientific, clinical, and technical research;
- Machine learning and algorithm training;
- Clinical insights and analytics;
- Publications and presentations;
- Commercial analytics;
- Regulatory submissions (if applicable);
- Product innovations and new technologies.
This does not include identifiable patient data unless separately authorized by the Clinic.
Legal Compliance
- Maintain audit trails;
- Respond to lawful requests;
- Enforce agreements and prevent misuse.
Support & Communication
- Provide customer support;
- Respond to user inquiries;
- Notify users of updates or changes.
DE-IDENTIFIED AND AGGREGATED DATA
Neuromechanical may de-identify Treatment Data, measurement data, and system usage data.
De-identified data cannot reasonably identify:
- A patient,
- A clinician,
- A clinic.
Neuromechanical may use de-identified and/or aggregated data:
- Indefinitely;
- For any lawful purpose;
- Without compensating users or clinics.
Moderate Ownership Structure (Your Selection)
- Clinics retain ownership of identifiable data.
- Neuromechanical owns de-identified and aggregated datasets.
- Neuromechanical may generate derivative analytics, insights, models, and tools using such data.
- Clinics do not gain ownership rights in Neuromechanical’s models or derivative works.
SHARING OF INFORMATION
Neuromechanical does not sell personal information.
Data may be shared in the following limited circumstances:
WITH SERVICE PROVIDERS
We may share information with vetted subprocessors that support:
- Cloud hosting and storage;
- Security, monitoring, and encryption;
- Crash analytics;
- Communication systems;
- Customer support tools.
They may only use data to perform services on our behalf.
WITH CLINICS AND ORGANIZATIONS
If your account belongs to a clinic:
- Clinic administrators may access, modify, or export information;
- Clinics determine who may use the System;
- Clinics control identifiable patient data.
Neuromechanical does not govern a clinic’s internal access rules.
WITH INTEGRATION PARTNERS
If you choose to enable EMR/EHR, wearable, or third-party integrations, information may be shared with:
- Healthcare information systems (via FHIR, HL7, APIs);
- Wearable sensor platforms;
- Third-party analytics engines;
- Other interoperability partners.
Each third party may have its own privacy and security terms.
Neuromechanical is not responsible for:
- Data handling outside its controlled environment,
- Accuracy or completeness of third-party data,
- Failures of third-party systems.
FOR LEGAL OR SAFETY REASONS
We may disclose information when:
- Required by law, subpoena, or legal process;
- Needed to enforce agreements or protect rights;
- Necessary to detect, prevent, or address fraud, misuse, or security issues.
SECURITY
Neuromechanical uses commercially reasonable safeguards to protect information, including:
- Encryption in transit (TLS);
- Secure cloud hosting providers;
- Identity and access controls;
- Audit logging;
- Redundancy and backups;
- Controlled access to production systems.
No system is 100% secure. You must:
- Maintain strong passwords;
- Limit unauthorized access;
- Follow clinic information security policies.
DATA RETENTION
We retain:
- User account data as long as necessary to provide the System;
- Treatment Data while a clinic maintains an active account;
- De-identified Data indefinitely;
- Required logs and legal records as long as required by law.
Upon account termination:
- Clinics may request deletion of identifiable patient data;
- Some logs may be retained for legal or security reasons;
- De-identified data is not deleted.
INTERNATIONAL DATA TRANSFERS
If data is transferred outside your jurisdiction:
- Secure transfer mechanisms are used;
- Processing follows applicable legal requirements;
- Users acknowledge that international transfers may occur.
USER RIGHTS AND CHOICES
Depending on your jurisdiction, you may have rights to:
- Access your own account information;
- Request correction or updates;
- Request deletion of certain data;
- Request a copy of data you provided;
- Restrict or object to certain processing.
Patient-related requests must be directed to the Clinic, not Neuromechanical.

CHILDREN
The System is not intended for individuals under 18 years of age.
Any minor-related information is entered solely by clinicians.
MODIFICATIONS TO THIS PRIVACY POLICY
Neuromechanical may update this Privacy Policy at any time.
Continued use of the System constitutes acceptance of the updated Policy.
GOVERNING LAW
This Policy is governed by the laws of the State of Arizona, unless Neuromechanical designates a different jurisdiction in writing.
ARBITRATION AND CLASS ACTION WAIVER
All disputes related to this Privacy Policy are subject to:
- Binding arbitration, and

This Disclaimer applies to your use of the Neuromechanical Connect System, including the mobile application, website, cloud services, APIs, and connectivity tools (collectively, the “System”). By using the System, you acknowledge and agree to the limitations and responsibilities set forth below.
This Disclaimer is intended to be read together with the Terms of Use, which are incorporated herein by reference.
NO MEDICAL ADVICE OR DIAGNOSTIC FUNCTION
The System does not provide medical advice, diagnosis, prognosis, treatment recommendations, or clinical decision-making.
All clinical decisions, assessments, measurements, interpretations, and treatments remain the sole responsibility of licensed clinicians using the System.
Neuromechanical:
- Does not review clinical content entered by users;
- Does not validate treatment plans or patient conditions;
- Does not provide professional clinical guidance.
The System must not be used as a substitute for clinical examination, training, judgment, or independent professional evaluation.
SOFTWARE VS. MEDICAL DEVICE DISTINCTION
The Impulse IQ Connect hardware is an FDA-regulated medical device.
The System (software) is NOT a medical device and does not:
- Control or alter the therapeutic function of the Device,
- Modify FDA-cleared indications,
- Provide regulated medical calculations,
- Replace training or the IFU.
If any information in the System appears inconsistent with the Device’s IFU, the IFU shall govern.
DEPENDENCE ON USER INPUT AND DEVICE FUNCTION
Data displayed in the System, including Treatment Data, measurement data, device output, and analysis-related information, may be influenced by:
- User entry errors;
- Device calibration or operational conditions;
- Network connectivity issues;
- Timing and measurement variances;
- Hardware performance and environmental factors.
Neuromechanical does not guarantee the accuracy, completeness, or clinical relevance of displayed data.
All information must be independently evaluated by a qualified clinician.
RESEARCH USE OF DE-IDENTIFIED DATA
Neuromechanical may use De-identified or Aggregated Data (as defined in the Terms of Use) derived from Treatment Data, measurement data, and system usage for:
- Scientific and clinical research;
- Product development and improvement;
- Algorithm training;
- Publications and presentations;
- Commercial analytics;
- Any other lawful purpose.
Such research use:
- Does not involve identifiable patient information,
- Does not impact user responsibilities or patient care,
- Does not create any clinical obligations for Neuromechanical.
Clinicians remain solely responsible for ensuring appropriate consents for entering identifiable data into the System.
DEVICE USAGE AND IFU COMPLIANCE
The System does not replace:
- The Device IFU,
- Training requirements,
- Safety protocols,
- Contraindications,
- Clinical evaluation.
Users must review and comply with:
- The official IFU,
- Device warnings and precautions,
- Regulatory labeling,
- Professional standards.
Neuromechanical is not responsible for:
- Improper use of the Device,
- Failure to follow the IFU,
- Misinterpretation of Device behavior or output.
THIRD-PARTY INTEGRATIONS AND FUTURE CONNECTIVITY
The System may integrate with:
- EMR/EHR systems,
- Wearables or biosensors,
- Third-party devices,
- Cloud analytics tools,
- Interoperability frameworks (FHIR, HL7, custom APIs).
Neuromechanical cannot and does not:
- Control the accuracy or availability of third-party systems,
- Guarantee interoperability performance,
- Validate third-party clinical data,
- Assume responsibility for data handled outside the System.
Users are responsible for ensuring:
- The legality of any integration they activate,
- Any required patient consent,
- Compliance with all data protection laws.
NO WARRANTY
The System is provided “AS IS” and “AS AVAILABLE” without any express or implied warranties, including but not limited to:
- Accuracy or completeness of data;
- Device connectivity performance;
- Applicability to clinical decisions;
- Availability or uptime;
- Merchantability or fitness for a particular purpose.
No oral or written information from Neuromechanical creates any warranty not expressly stated herein.
LIMITATION OF LIABILITY
To the fullest extent permitted by law, Neuromechanical is not liable for:
- Clinical decisions or outcomes;
- Errors in user-entered data;
- Reliance on System-displayed information;
- Connectivity or Device data transfer issues;
- Third-party failures or inaccuracies;
- Indirect, incidental, special, punitive, or consequential damages.
Liability limits in the Terms of Use apply fully to this Disclaimer.
RESPONSIBILITY FOR COMPLIANCE
Users are solely responsible for:
- Obtaining proper training to use the Device;
- Following the IFU and all safety requirements;
- Verifying Treatment Data, measurements, and clinical interpretations;
- Ensuring legal compliance when entering identifiable patient information.
Neuromechanical does not supervise or monitor user compliance.
